Terms of Services

The Platform is a proprietary digital publishing, content administration, monetisation, analytics, reporting, rights management, royalty administration, and payment management system operated by GMJ. It facilitates the management, exploitation, monetisation, administration, optimisation, reporting, and operational handling of digital audiovisual and music content across third-party platforms and services.

The Platform may enable GMJ and/or authorised Users, directly or through official APIs, CMS systems, delegated permissions, and authorised tools provided by third-party platforms including YouTube and Google, to perform or facilitate: uploading, publishing, distributing, monetising and managing Content; editing videos and audiovisual assets; editing titles, descriptions, tags, metadata, thumbnails, captions, subtitles, playlists, artwork, end screens, cards, category, monetisation and visibility settings; scheduling, publishing, restricting, geo-blocking, age-gating or privatising Content; administering channels, CMS assets, references, ownership and policy settings, copyright claims and monetisation configurations; managing catalogue information and operational records; reviewing analytics, reporting, monetisation and revenue performance; handling disputes, copyright notices, takedowns and content ID actions; and communicating with Users on operational matters.

GMJ reserves the right to modify, suspend, discontinue, restrict, or remove any part of the Platform or any feature thereof at any time without prior notice.

By using the Platform, you represent and warrant that you are legally competent to enter into binding agreements; you possess all rights, authorisations, licenses and permissions necessary to use the Platform and exploit the Content; all information provided to GMJ is accurate, current and complete; your use does not violate any applicable law, regulation, contractual obligation or third-party right; and if you are acting on behalf of an entity, you are duly authorised to bind it. You further represent that the Content does not infringe any third-party right and complies with applicable laws and platform policies.

3.1 Authorisation. You expressly authorise GMJ and its affiliates, employees, contractors, agents, representatives, and authorised service providers to access, administer, manage, publish, monetise, modify, and operate your Content, channels, metadata, assets, accounts, catalogue information, and associated publishing infrastructure solely for the purposes contemplated under these Terms.

3.2 Account and Access. You agree to maintain the confidentiality and security of all usernames, passwords, access credentials, Tokens, API keys, and other authentication information associated with your account. You shall be solely responsible for all activities conducted through your account and agree to immediately notify GMJ of unauthorised access, security breaches, credential compromise, Token misuse, or suspicious activity.

3.3 API and CMS Permissions. You consent to GMJ accessing and using official APIs, CMS systems, delegated permissions, account-linking systems, authentication systems, integrations, tokens, and related technologies provided by third-party platforms.

3.4 Revocation of Access. Revoking or restricting API permissions, CMS access, delegated authority, Tokens, or channel access may impair GMJ's ability to provide services. GMJ shall not be liable for losses arising from such revocation.

“Content” includes all sound recordings, musical works, compositions, lyrics, videos, audiovisual works, thumbnails, artwork, graphics, metadata, captions, subtitles, promotional materials, literary works, channel assets, recordings, performances, reference files, catalogue information, and any other materials uploaded, submitted, managed, distributed, administered, monetised, or otherwise exploited through the Platform.

You represent that you own, control, or have validly obtained all rights, licences, permissions and approvals necessary to upload, publish, distribute, monetise, administer, and modify the Content. You grant GMJ a worldwide, non-exclusive, transferable, sublicensable licence to:

1. upload, host, publish, unpublish, distribute, stream, communicate to the public, monetise, promote, administer, display, transmit, synchronise and otherwise use the Content;
2. optimise, localise, revise, resize, compress, encode, trim, format, reformat, replace, schedule, and otherwise technically or operationally manage the Content and associated channel assets;
3. upload, update, synchronise, optimise or manage metadata, titles, descriptions, tags, thumbnails, captions, subtitles, playlists, artwork, category settings, end screens, cards and associated materials;
4. administer content management and identification systems, references, ownership claims, copyright claims, disputes, monetisation settings and policy settings;
5. access and operate channels, assets, metadata and publishing infrastructure through official APIs, delegated permissions, account-linking systems, CMS access and authorised integrations provided by third-party platforms including YouTube and Google; and
6. undertake such operational, technical, publishing, optimisation, compliance, monetisation, promotional, administrative and support activities as may reasonably be required.

You acknowledge that actions undertaken through APIs, delegated permissions, CMS systems, authentication systems, or platform integrations may automatically result in modifications to metadata, scheduling or publishing changes, monetisation changes, visibility or access restrictions, and formatting or optimisation changes — all such actions shall be deemed authorised actions undertaken on your behalf.

You remain solely responsible for ownership and chain of title, third-party royalty obligations, metadata accuracy, publishing administration, and compliance with applicable laws and platform policies. GMJ reserves the right to remove, suspend, reject, disable, restrict, demonetise or block any Content where infringement or ownership disputes exist; fraud, artificial streaming or policy violations are suspected; the Content violates applicable law or third-party rights; or such action is required by law, court order or platform policy.

You shall not, directly or indirectly:

• reverse engineer, decompile, disassemble, copy, scrape, crawl, mirror, or reproduce the Platform;
• interfere with, disrupt, damage, or compromise the Platform or its infrastructure;
• circumvent any security feature or access restriction;
• upload malware, spyware, malicious code, automated scripts, bots, or harmful software;
• artificially inflate streams, views, engagement, clicks, subscribers, or monetisation metrics;
• engage in fraudulent streaming, traffic manipulation, or policy circumvention;
• use the Platform in violation of any applicable law or third-party platform policy;
• access data or systems not intended for you;
• use the Platform to compete with GMJ; or
• exploit the Platform for any unlawful or unauthorised purpose.

Any violation may result in immediate suspension or termination, withholding of payments, legal action, and reporting to relevant authorities or platform partners.

The Platform may display analytics, royalty reports, monetisation data, payment information, and revenue statements generated from data received from third-party platforms, digital service providers, advertising networks, payment processors and rights management systems. Such reporting is provided for informational and operational purposes only and may be subject to delays, reconciliation adjustments, invalid traffic deductions, clawbacks, chargebacks, refunds, withholding taxes, penalties, platform deductions, currency conversion adjustments and third-party corrections.

GMJ does not warrant uninterrupted monetisation, minimum revenue levels, continued monetisation eligibility, uninterrupted dashboard or reporting access, or complete, error-free, real-time reporting data. GMJ shall have the right to collect, receive, process, administer, reconcile, deduct, retain, distribute and account for revenues in accordance with the applicable commercial arrangement.

GMJ may withhold, suspend, offset, claw back or retain revenues where fraud, suspicious activity, artificial streaming or invalid traffic is suspected; infringement claims, ownership disputes or legal proceedings arise; third-party claims, liabilities or penalties are imposed; payment reversals, refunds or chargebacks occur; or you breach these Terms. You shall provide complete banking, invoicing, KYC, PAN, GST, VAT and tax documentation reasonably required for payment processing and regulatory compliance.

7.1 Data Collection and Processing. GMJ may collect, access, store, process, analyse, monitor, use, transmit and retain operational, technical, financial, reporting, payment, analytics, account, usage and business-related information for operating the Platform, providing services, fraud prevention and security, compliance and audit, performance analytics, rights management and enforcing these Terms.

7.2 Personal Data. The Platform may process names, contact details, account credentials, payment information, tax information, channel identifiers, IP addresses, login records, access logs, device information and operational activity. You represent that you have obtained all necessary permissions and consents for the processing of such personal data by GMJ.

7.3 Compliance With Applicable Laws. Each party shall comply with applicable privacy, cybersecurity and data protection laws in connection with the performance of its obligations.

7.4 Confidential Information. All non-public information relating to the Platform — software, APIs, dashboards, reporting systems, analytics, revenue information, payment records, operational workflows, business processes, monetisation information, technology and commercial information — is confidential information of GMJ. You shall maintain strict confidentiality, use such information solely for authorised purposes, restrict access on a need-to-know basis, and implement reasonable safeguards. You shall not disclose, publish, screenshot, export or share confidential information except with GMJ's prior written consent, to professional advisors bound by confidentiality, or where required by law.

7.5 Monitoring. GMJ reserves the right to monitor, log, analyse, review, audit and retain Platform activity, access records, authentication logs, API activity, reporting access and operational usage for security, compliance, fraud prevention, technical support, operational administration and legal purposes.

The Platform, including all software, source code, APIs, dashboards, layouts, interfaces, workflows, reporting systems, databases, technology, documentation, operational tools, publishing systems, payment systems, analytics systems, trademarks, logos, service marks, designs, graphics and all related intellectual property rights, are and shall remain the sole and exclusive property of GMJ and/or its licensors. Except for the limited rights expressly granted under these Terms, no rights are transferred to you.

Subject to the rights granted under these Terms and any applicable commercial arrangement, ownership in and to the Content shall remain with you and/or the applicable rights holders. Nothing in these Terms operates as an assignment of ownership in the Content to GMJ unless expressly agreed in writing.

You shall not copy, reproduce, distribute, sell, license, sublicense, lease or commercially exploit the Platform; reverse engineer, decompile, disassemble, scrape, crawl or derive source code or proprietary technology from the Platform; remove or alter any copyright notices, trademarks or attribution; use the Platform to create a competing product; or access it in any manner not expressly authorised.

If you provide GMJ with Feedback, GMJ shall have the unrestricted right to use, implement, modify, commercialise and incorporate such Feedback without restriction or obligation, and no compensation, attribution or further consent shall be required.

The Platform may integrate with third-party platforms, APIs, systems, software, payment processors, hosting providers, monetisation systems, advertising networks, rights management systems, analytics tools and digital service providers, including those operated by YouTube and Google. These third-party platforms are independent from GMJ and not owned or controlled by GMJ. Your use of them may be subject to separate terms, community guidelines, monetisation policies, API policies, developer terms, privacy policies and operational requirements.

GMJ shall not be liable for any acts, omissions, failures, outages, restrictions, suspensions, delays, errors, inaccuracies, policy changes, monetisation decisions, demonetisation actions, account suspensions, takedowns or technical issues arising from any third-party platform, API, integration or service.

GMJ reserves the right, at any time and without prior notice or liability, to suspend, restrict, disable, revoke, modify or terminate your access to the Platform, any account, Tokens, delegated permissions, APIs, integrations, CMS access, reporting systems, monetisation systems or publishing functionality where GMJ determines that you have breached these Terms; infringement claims or disputes arise; fraud, suspicious activity or unlawful conduct is suspected; your use exposes GMJ or others to risk; suspension is required by law or third-party requirements; third-party APIs or permissions are revoked; your credentials or systems are compromised; or continued access is commercially, operationally, legally or technically undesirable.

During suspension, GMJ may disable credentials and permissions; restrict publishing, monetisation, reporting, payment or administrative functionality; remove or restrict access to Content; withhold revenues or payments; and take such operational, technical, administrative, legal or compliance actions as it reasonably considers necessary.

You may discontinue use of the Platform at any time, subject to any ongoing obligations. Termination shall not relieve you of obligations accrued prior to termination. Upon termination, all rights granted to you cease; GMJ may revoke Tokens, delegated permissions, API access, CMS permissions and operational access; and provisions of these Terms which by their nature are intended to survive shall survive and remain enforceable.

The Platform and all related services are provided on an “as is” and “as available” basis. GMJ does not warrant that the Platform will be uninterrupted, error-free, secure, continuously available, or free from technical failures, delays or inaccuracies. GMJ does not guarantee monetisation eligibility or approval, uninterrupted monetisation, minimum revenue levels, visibility, engagement, traffic or audience reach, or uninterrupted availability of third-party platform features, APIs or monetisation systems. To the fullest extent permitted by law, GMJ disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, compatibility and accuracy.

To the maximum extent permitted by applicable law: (a) GMJ shall not be liable for any indirect, incidental, consequential, special, punitive or exemplary damages, including loss of revenue, profits, business, goodwill, data, monetisation, visibility or anticipated savings; (b) GMJ shall not be liable for any acts, omissions, suspensions, demonetisation actions, outages, reporting inaccuracies, API failures, payment delays, policy changes or operational decisions of third-party platforms including YouTube and Google; and (c) GMJ's aggregate liability arising out of or relating to the Platform, services, Content or these Terms shall not exceed the total amount paid by GMJ to you during the six (6) months immediately preceding the event giving rise to the claim.

You agree to indemnify, defend and hold harmless GMJ, its affiliates, directors, employees, agents, licensors and service providers from and against any claims, liabilities, losses, damages, penalties, costs and expenses (including reasonable legal fees) arising out of or relating to: your breach of these Terms; the Content, including any infringement, ownership dispute or third-party claim; fraud, artificial streaming, invalid traffic or policy violations; misuse of the Platform, APIs, Tokens, delegated permissions or third-party integrations; or your violation of any applicable law, regulation or third-party platform policy.

GMJ shall not be liable for any delay, interruption, suspension, failure or inability to perform its obligations arising from events beyond its reasonable control, including acts of God, cyberattacks, internet failures, power outages, platform outages, API failures, governmental actions, regulatory restrictions, war, terrorism, strikes, pandemics, labour disputes, infrastructure failures, or failures of third-party platforms or service providers.

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute, claim or controversy arising out of or relating to the Platform, the services, or these Terms shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a sole arbitrator appointed by GMJ. The seat and venue of arbitration shall be Mumbai, Maharashtra, India, and the proceedings shall be conducted in English. Subject to the foregoing, the courts at Mumbai, Maharashtra shall have exclusive jurisdiction.

GMJ reserves the right to modify, amend, update, suspend, discontinue or replace the Platform, services, features, APIs, integrations or these Terms at any time without prior notice. Your continued use following any such modification shall constitute acceptance of the revised Terms.

If any provision of these Terms is held invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect. Failure by GMJ to enforce any provision shall not constitute a waiver of any rights. You may not assign or transfer your rights or obligations under these Terms without GMJ's prior written consent. GMJ may assign or transfer its rights and obligations without restriction. These Terms constitute the entire agreement between you and GMJ relating to the Platform.
